These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Seller", or "you") and Orie Africa Limited ("Orie Africa", "we", "us", or "our"), a company registered in Port Harcourt, Rivers State, Nigeria.
By accessing or using the Orie Africa platform — including our website at orie.africa, Orie Lite at lite.orie.africa, our dashboard at app.orie.africa, and any associated services (collectively, the "Platform") — you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the Platform.
Orie Africa provides a WhatsApp Commerce Platform that enables Nigerian and African businesses to manage sales, orders, customer communications, inventory, and payments through WhatsApp and related tools.

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice.
To use the Platform you must:
By using the Platform, you represent and warrant that you meet all of the above eligibility requirements.
To access the full features of the Platform, you must create an account by providing your business name, WhatsApp number, email address, and a PIN.
We reserve the right to suspend or terminate accounts that contain false, misleading, or incomplete information.
Orie Africa offers subscription plans billed monthly or annually in Nigerian Naira (₦). Current plans include Orie Lite, Starter, Growth, Pro, and Agency. Plan details and pricing are available at orie.africa/#pricing.
New subscribers receive a 7-day free trial on Starter plan features. No payment is required during the trial period. At the end of the trial, your account will require an active subscription to continue accessing paid features.
All payments are processed through Paystack, a licensed payment processor. By subscribing, you authorise Orie Africa to charge your selected payment method through Paystack for the applicable subscription fee.
Subscription fees are non-refundable except where required by applicable Nigerian law. If you cancel your subscription, you will retain access to paid features until the end of your current billing period.
We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of any price changes via email or in-platform notification. Continued use of the Platform after a price change constitutes acceptance of the new pricing.
Broadcast credits are non-transferable and do not roll over between billing periods unless otherwise stated in your plan.
You agree to use the Platform only for lawful purposes. You must not use the Platform to:
We reserve the right to suspend or terminate your account immediately and without notice if we determine, at our sole discretion, that you have violated this Acceptable Use Policy.
All content, software, design, trademarks, logos, and technology on the Platform — including the Orie Africa name and shopping bag logo — are the exclusive property of Orie Africa Limited and are protected by Nigerian and international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable licence to use the Platform solely for your internal business purposes in accordance with these Terms. This licence does not permit you to:
You retain ownership of all content you upload to the Platform, including product images and descriptions. By uploading content, you grant Orie Africa a non-exclusive licence to use, display, and process that content solely for the purpose of providing the Service to you.
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your data as described in our Privacy Policy.
You are responsible for ensuring that your use of customer data obtained through the Platform complies with all applicable data protection laws, including the Nigeria Data Protection Act (NDPA) 2023.
You must not use customer data obtained through Orie Africa for any purpose other than fulfilling orders and managing your business relationships with those customers.
The Platform integrates with third-party services including WhatsApp (Meta), Paystack, Flutterwave, and others. Your use of these services is subject to their respective terms and policies.
Orie Africa is not responsible for the availability, accuracy, or performance of third-party services. We will not be liable for any loss or damage arising from your use of or reliance on any third-party service.
WhatsApp is a trademark of Meta Platforms, Inc. Orie Africa is an independent service and is not affiliated with, endorsed by, or sponsored by Meta.
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that:
You use the Platform at your own risk.
To the fullest extent permitted by applicable Nigerian law, Orie Africa Limited and its directors, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform.
In no event shall our total liability to you for all claims arising from or related to the Platform exceed the total amount you paid to Orie Africa in the three (3) months immediately preceding the claim.
You may cancel your subscription at any time through your dashboard settings or by contacting us at hello@orie.africa. Cancellation takes effect at the end of the current billing period.
We may suspend or terminate your access to the Platform immediately and without prior notice if you:
Upon termination, your right to access the Platform will immediately cease. We may delete your account data in accordance with our data retention policy.
We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you by email or through an in-platform notification at least 14 days before the changes take effect.
Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform before the changes take effect.
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Rivers State, Nigeria.
